Acceptance of Terms of Use

Scope and Agreement: These Terms of Use ("Terms") constitute a legally binding agreement between you and Urbi Kore ("Urbi Kore"), governing your access to and use of services provided via our website at www.myurbi.co ("Website") and through our software applications, including but not limited to the "Urbi" application (individually "App" and collectively, "Apps"). These services, designed to facilitate the scheduling, management, and execution of household chores and other errands, are collectively referred to as the "Service."

Consent to Terms: By accessing or using the Website, clicking on the "I accept" button, completing the registration process, downloading the App, or utilizing the Service in any capacity, you:

  • Confirm that you are of legal age to form a binding contract with Urbi Kore.
  • Assert that you have the authority to agree to these Terms, whether on your own behalf or on behalf of another entity you represent.
  • Requirement of Agreement: Your agreement to these Terms is a precondition to your access and use of the Service. If you do not agree to be bound by these Terms, you are not authorized to access or use the Website, App, or Services.
  • CAREFUL CONSIDERATION ADVISED: PLEASE READ THESE TERMS CAREFULLY. YOUR AFFIRMATIVE ACTION IN USING THE SERVICE, CLICKING "I ACCEPT," OR PROCEEDING WITH THE REGISTRATION PROCESS CONSTITUTES YOUR ACCEPTANCE OF AND AGREEMENT TO THESE TERMS. SHOULD YOU DISAGREE WITH ANY PART OF THESE TERMS, YOU MUST IMMEDIATELY CEASE USE OF THE SERVICE, WEBSITE, AND APP.
Service Provision and Task Management

  1. General Overview: The Service provides a versatile platform enabling you to conveniently schedule, manage, and have a wide array of tasks and services performed on your behalf. These services extend beyond simple household chores to include any errands or tasks you may need, facilitated through our network of task providers, herein referred to collectively as “Service Providers.” Upon the payment of membership fees, you will gain access to one or more Service Providers, who may range from individuals to professional service entities, tasked with completing the services (e.g., dry cleaning pickup, household cleaning, grocery shopping, or any other errand or service you request) initiated by you through the Service (hereafter referred to as a “Task”).
  2. Scheduling a Task: To schedule a Task, you are required to submit all necessary information as prompted by the Service interface. It is your responsibility to ensure that any information provided for scheduling a Task is true, accurate, current, and complete. You commit to promptly update any information provided to maintain its accuracy and completeness over time. Failure to maintain the accuracy and completeness of this information constitutes a breach of these Terms.
  3. Service Eligibility and Termination: We extend our services to members based on adherence to these Terms and applicable laws. While we strive to offer widespread and inclusive service, we reserve the right, to the extent permitted by applicable law, to deny or terminate service to any member at our discretion, should circumstances warrant such action.
Third Party Applications and Services
  1. Access and Authorization: In the delivery of our Service, it may be necessary to interact with various third party software applications and services on your mobile device or through the web ("Third Party Services") to fulfill the Tasks you have requested. You hereby grant explicit consent and authorization for Urbi Kore to access, interact with, and utilize these Third Party Services on your behalf as required to efficiently complete the Tasks. This includes accessing any accounts associated with such Third Party Services that you designate for the purpose of providing our Service.
  2. User Responsibility and Acknowledgment: You acknowledge and agree that your decision to use Third Party Services in conjunction with our Service is governed by the terms and conditions of those Third Party Services ("Third Party Terms"). You confirm that you have read, understand, and agree to be bound by these Third Party Terms. It is your responsibility to comply with Third Party Terms, and you agree to ensure that your use of our Service in relation to Third Party Services does not violate these terms.
  3. Disclaimer and Limitation of Liability: Urbi Kore does not endorse, is not affiliated with, and has no control over Third Party Services, including their content, policies, or practices. As such, Urbi Kore expressly disclaims any and all responsibility and liability for any actions of Third Party Services, including but not limited to, data use, data loss, or service provision issues that may arise from the use of Third Party Services in conjunction with our Service. Urbi Kore makes no representations or warranties, express or implied, regarding the functionality, performance, or reliability of Third Party Services, nor does it assume any liability for any loss or damage caused by your use of such services in relation to the Tasks performed.
  4. By using our Service, you acknowledge and accept that any interactions with Third Party Services, and any consequences that may result from such interactions, fall under the purview of the Third Party Terms, and not Urbi Kore. Urbi Kore recommends that you review the Third Party Terms carefully before authorizing access to any Third Party Service.
Registration and Member Accounts
  1. Account Creation Requirements: To access certain features of our Service, you are required to register for and create a user account ("Account"). You must be at least 18 years of age to create an Account. During the account setup process, you will create login credentials by providing certain personal information ("Login Credentials"). For details on the specific types of personal information collected and how it is used, please refer to our Privacy Statement.
  2. Account Information Integrity: By registering for the Service, you commit to:
  • Accuracy of Information: Provide true, accurate, current, and complete information about yourself as requested by our registration form ("Registration Data").
  • Updates to Information: Maintain and promptly update the Registration Data as necessary to ensure it remains true, accurate, current, and complete.
  • Legitimate Interest and Permissions: Affirm that you have a legitimate interest in the property (e.g., your residence) to which you are granting Urbi access, and that you have obtained all necessary permissions from any other individuals or entities with an interest in the property.
  • Security and Responsibility: You are responsible for maintaining the confidentiality of your Login Credentials. You agree to accept responsibility for all activities that occur under your Account and Login Credentials. You must not allow any third party to use your Login Credentials at any time. Urbi Kore reserves the right to terminate any Account and its associated Login Credentials if it is suspected that they have been used by an unauthorized third party.
  1. Prohibitions on Account Creation:
  • False Information: You agree not to create an Account under a false identity or with false information, nor on behalf of someone other than yourself.
  • Re-registration Restrictions: You agree not to create an Account or use the Service if you have been previously removed or banned from the Service by Urbi Kore.
  • Termination Rights: Urbi Kore reserves the right to terminate your Account if we reasonably believe that you have violated any of the commitments outlined in this Registration section, including but not limited to the misuse of Login Credentials, providing false Registration Data, or violating permissions related to property access.


Integration with Third Party Accounts

  1. Linking Accounts: Depending on the version of our App you are utilizing, you may have the option to connect your user account ("Account") with various third-party social networking services and applications (e.g., Facebook), collectively referred to as "Third Party Accounts". This can be achieved by:
  • Providing your Third Party Account login credentials directly to us; or
  • Permitting us to access your Third Party Account, in accordance with the terms and conditions governing your use of each Third Party Account.
  1. User Representations and Warranties: By linking a Third Party Account, you affirm that:
  • You are legally authorized to disclose your Third Party Account login information to us and/or grant us access to your Third Party Account without violating any of the terms and conditions that govern your use of the applicable Third Party Account.
  • Such disclosure or access does not require us to pay any fees or subjects us to any usage limitations imposed by third-party service providers.
  • Autonomy of Third Party Relationships: It is important to acknowledge that your interactions and legal relationship with the providers of Third Party Accounts are regulated solely by your agreement(s) with such providers. Urbi Kore is not a party to those agreements and therefore has no responsibility or liability for the content, operations, or practices of any Third Party Account, including any data that may be collected, processed, or shared by these third party service providers.
  • Disclaimer and Limitation of Liability: Urbi Kore expressly disclaims any liability for the actions or omissions of any Third Party Account or service provider. By linking your Account with any Third Party Account, you do so at your own risk. Urbi Kore does not guarantee the continuous, uninterrupted, or error-free operation of any Third Party Account, nor does it endorse any content, privacy policies, or practices of such third-party services.
  • Privacy Note: In compliance with the Personal Information Protection Act (PIPA) of Alberta, Urbi Kore commits to protecting the privacy of its users. Our collection, use, and disclosure of personal information are detailed in our Privacy Policy, accessible on our Website, ensuring our practices are transparent and safeguard users' privacy rights.
Licenses Granted

  1. License Provision: Urbi Kore hereby grants you a non-exclusive, personal, revocable, limited, non-transferable license to use the App on devices that you own or control, specifically: (i) iPhone, iPad, or iPod Touch devices, subject to the terms of the Apple App Store, or (ii) Android-enabled devices, subject to the terms of the Google Play marketplace or any analogous platform ("App Store"). This license is conditioned upon your compliance with all applicable third-party terms of the relevant App Store, including but not limited to, the Usage Rules established by such App Store.
  2. Use Restrictions: The license granted to you is subject to the following limitations. You agree not to:
  • License, sell, rent, lease, transfer, assign, distribute, host, or commercially exploit Urbi Kore Properties, or any part thereof.
  • Employ framing techniques to enclose any Urbi Kore trademark, logo, or other proprietary information without Urbi Kore's express written consent.
  • Utilize metatags or any other "hidden text" employing Urbi Kore's names or trademarks without Urbi Kore's express written consent.
  • Alter, adapt, merge, create derivative works from, disassemble, decompile, reverse compile, or reverse engineer any part of Urbi Kore Properties, except as allowed under applicable law.
  • Use any automated means to access, scrape, or download any part of Urbi Kore Properties unless expressly permitted by Urbi Kore.
  • Access Urbi Kore Properties to create a product or service that is competitive with Urbi Kore Properties.
  • Copy, reproduce, distribute, republish, download, display, post, or transmit any part of Urbi Kore Properties in any form or by any means, except as expressly permitted under these Terms.
  • Remove or alter any copyright notices or proprietary markings on Urbi Kore Properties.
  • Utilize Urbi Kore Properties for any unlawful purposes.
  • Termination of License: Unauthorized use of Urbi Kore Properties will result in the immediate termination of the licenses granted hereunder.
  • Updates and Upgrades: Urbi Kore may, from time to time, provide updates or upgrades to the App, subject to the terms then in effect. However, Urbi Kore is under no obligation to provide any support, corrections, updates, upgrades, bug fixes, or enhancements. Your use of such updates or upgrades will be governed by the Terms as of the date of installation.
  • Reservation of Rights: Urbi Kore reserves any and all rights not expressly granted to you under these Terms.
Ownership Rights and Intellectual Property License
  1. Ownership and Rights: All rights, title, and interest in and to Urbi Kore Properties, including but not limited to design, layout, logo, text, code, and graphics contained within the App and Website ("Urbi Kore Content"), are and shall remain the exclusive property of Urbi Kore. Urbi Kore Content is protected under both Canadian and international copyright and trademark laws. You acknowledge that Urbi Kore Content, as well as all associated intellectual property rights, are owned by Urbi Kore and that no ownership rights are transferred to you under these Terms.
  2. Third-Party Trademarks and Content: The Service may display trademarks, logos, and images that belong to third parties ("Third-Party Content"). Ownership of Third-Party Content remains with the respective owners of such content ("Content Owners"). These Content Owners may or may not be affiliated with, connected to, or sponsored by Urbi Kore. Your use of the Service does not grant you any rights or licenses to use any Third-Party Content without the explicit permission of the respective Content Owners.
  3. License to Use Urbi Kore Content: Subject to your compliance with these Terms, Urbi Kore grants you a non-exclusive, non-transferable, revocable license to access and use Urbi Kore Content solely for your personal, non-commercial use of the Services. This license is for the sole purpose of enabling you to use and enjoy the benefit of the Services as provided by Urbi Kore, in the manner permitted by these Terms. No other rights are granted to you with respect to Urbi Kore Content.
  4. Prohibitions: You may not use, copy, adapt, modify, prepare derivative works from, distribute, license, sell, transfer, publicly display, publicly perform, transmit, broadcast, or otherwise exploit Urbi Kore Properties or any portion thereof, except as expressly permitted in these Terms or with the prior written permission of Urbi Kore.
  5. Intellectual Property Protection: Urbi Kore respects the intellectual property rights of others and expects users of the Services to do the same. Infringement of intellectual property rights will be addressed promptly, and may result in termination of your access to the Services in accordance with these Terms.
  6. Reservation of Rights: All rights not expressly granted herein are reserved to Urbi Kore and its licensors. The use of Urbi Kore Properties does not give you ownership of any intellectual property rights in Urbi Kore Properties or the content you access.
Subscription Fees and Payment Terms
  1. Service Subscription Fees: By creating an Account and selecting a subscription package (monthly or annual), you commit to paying the applicable Service Subscription Fee starting from your Service Commencement Date. Please note, all fees associated with the Tasks and Services rendered by Urbi Kore are non-refundable. A contractual agreement for the Services between you and Urbi Kore is established upon Urbi Kore's acceptance of your order. This acceptance may be communicated through confirmatory email, text message, via the App, or other suitable means.
  2. Payment Obligations: You are obligated to pay all fees and charges incurred in connection with your Account according to the pricing, charges, and billing terms in effect at the time such fees or charges become payable. Urbi Kore has partnered with Stripe for secure payment processing. By utilizing our Service, you agree to Stripe's Terms of Service (accessible at https://stripe.com/us/terms) and to provide Stripe with valid payment information (e.g., Visa, MasterCard, or any other issuer accepted by us). Your agreement with your Payment Provider governs the use of your designated credit card, and you should consult that agreement, not these Terms, to ascertain your rights and liabilities as a cardholder.
  3. By submitting your credit card details to Stripe, you authorize Urbi Kore to bill your Account for all due fees and charges without further notice or consent. You commit to promptly update your payment information in Stripe in case of any changes to your billing address or the credit card used for payment.
  4. Additional Fees: In addition to the Service Subscription Fee, you agree to a credit card processing fee, a service fee (not constituting a gratuity), and a booking charge on all goods and services purchased through Urbi Kore at the rates then applicable to your account with Urbi Kore as adjusted by Urbi Kore from time to time. These fees support the ongoing maintenance and enhancement of our technology and service quality.
  5. Changes in Fees and Billing: Urbi Kore reserves the right to modify its prices and billing methods at any time. Such changes will be effective immediately upon posting on Urbi Kore Properties or through direct communication with you via email.
Automatic Renewal Policy
  1. Subscription Continuity: Your subscription is designed to continue indefinitely until it is terminated according to the stipulations outlined in these Terms. Upon the conclusion of your initial subscription period, and subsequently after any further subscription period, your subscription will automatically renew on the day following the end of such period (defined as the "Renewal Commencement Date"). Each renewal period will match the length of the original subscription term and will be charged at Urbi Kore's then-current rate for such subscriptions.
  2. Cancellation and Modification: To avoid automatic renewal, you must cancel your subscription no later than the day prior to the Renewal Commencement Date. Cancellations can be made by contacting Urbi Kore via email at hello@myurbi.co. Should you wish to change or terminate your subscription, please reach out to us through the same email address.
  3. Post-Cancellation Access: If you decide to cancel your subscription, you will retain access to the subscription services until the end of your current subscription term. Your subscription will not renew after your current term expires. Please note that you will not receive a prorated refund for any part of the subscription fee paid for the ongoing subscription period.
  4. Payment Authorization: By initiating a subscription, you authorize Urbi Kore to charge your Payment Provider at the start of your initial subscription period and again at the beginning of each subsequent period.
  5. Failure to Receive Payment: Should Urbi Kore not receive payment from your Payment Provider upon renewal:
  • You are required to settle any outstanding amounts owed on your Account upon demand.
  • Urbi Kore reserves the right to either terminate or suspend your subscription and may continue to attempt to charge your Payment Provider until payment is successfully received. Upon receiving payment, your Account will be reactivated, and for the purposes of automatic renewal, your new subscription period will commence from the date payment is received.
  1. Cancellation and Modification: To avoid automatic renewal, you must cancel your subscription no later than the day prior to the Renewal Commencement Date. Cancellations can be made by contacting Urbi Kore via email at hello@myurbi.co Should you wish to change or terminate your subscription, please reach out to us through the same email address.
  2. Post-Cancellation Access: If you decide to cancel your subscription, you will retain access to the subscription services until the end of your current subscription term. Your subscription will not renew after your current term expires. Please note that you will not receive a prorated refund for any part of the subscription fee paid for the ongoing subscription period.
  3. Payment Authorization: By initiating a subscription, you authorize Urbi Kore to charge your Payment Provider at the start of your initial subscription period and again at the beginning of each subsequent period.
Free Trials and Promotional Offers
  1. Usage and Duration: Urbi Kore may, from time to time, offer free trials or other promotional offers that grant users temporary access to the Services without charge. These offers are intended to allow users to assess the Services within a specified timeframe as outlined at the commencement of the trial or promotion.
  2. Expiration and Transition: Upon the expiration of a free trial or promotional period, access to the Service under such offer will automatically cease. Continued usage of the Service beyond the trial or promotional period requires subscription and payment of the applicable subscription fee. To avoid interruption, users are encouraged to subscribe prior to the expiration of the trial or promotional period.
  3. Cancellation Policy: For any appointments made during or after a free trial or promotional period, cancellations must be made at least 48 hours in advance to avoid fees. Cancellations made within 48 hours of the appointment time will incur a charge equal to 50% of the service rate. This policy applies only to select services which will be clearly identified at the time of booking.
  4. Subscription Charges in Error: In instances where you might be inadvertently charged for a subscription following a free trial or promotional offer due to a failure to cancel within the specified period, please contact Urbi Kore immediately at [contact information]. Urbi Kore will review such instances on a case-by-case basis and, if appropriate, reverse the charges.
Communications Policy
  1. Feedback and Support: Urbi Kore values your input and may periodically reach out to you for feedback on the Services provided, including your experiences with the Tasks performed by your assigned Urbi. Additionally, we may contact you regarding service and support-related matters to ensure your satisfaction and address any concerns you may have.
  2. Methods of Communication: To facilitate timely and efficient communication, Urbi Kore reserves the right to contact you through various channels, including but not limited to:
  • Email,
  • Text messages (SMS),
  • Notices directly posted within the Website,
  • Announcements placed within your Account interface.
  1. Receipt and Effectiveness of Notices: Communications from Urbi Kore are considered effective at the moment they are sent (for emails and text messages) or at the time they are made available on the Website or within your Account (for posted notices), irrespective of your actual receipt or the time you read them.
User Preferences and Opt-Out: We are committed to respecting your preferences regarding communications. You will have the opportunity to specify your communication preferences and may opt-out of non-essential communications at any time. However, please note that certain communications related to the provision of the Services, such as service updates, billing information, and support-related notifications, are considered essential for the effective delivery of the Services and cannot be opted out of.

Contact Information Updates: To ensure that you do not miss any important communications, please keep your contact information up to date in your Account settings. If your email address or phone number changes, please update your preferences promptly to continue receiving important updates from us.

Code of Conduct
In recognizing the personalized nature of the Services and the potential for direct interactions with our service professionals, referred to as "Urbis," it is essential to uphold a standard of conduct that respects their dignity and well-being. The purpose of this Code of Conduct is to foster a safe, respectful, and enjoyable environment for everyone involved, including both you and the Urbis.
  1. Adherence to Conduct Standards: Your access to and use of the Services are conditional upon your compliance with the following conduct standards. You agree not to:
  2. Cause Harm: Physically harm, threaten harm, intentionally or recklessly endanger the health and safety of our Urbis, or create any situation that poses a risk to their well-being.
  3. Sexual Misconduct: Make or attempt any unwanted sexual advances or comments towards our Urbis.
  4. Harassment: Engage in threatening, harassing, stalking, intimidating, aggressive, bullying, or any behavior that infringes on the peace and dignity of our Urbis.
  5. Offensive Behavior: Use vulgar, obscene language or conduct yourself in a manner likely to cause discomfort, embarrassment, or offense to others.
  6. Discrimination: Discriminate against any Urbi on the basis of race, color, sex, age, national origin, disability, sexual orientation, religion, or any other protected characteristic.
  7. Consequences of Violation: Violating this Code of Conduct constitutes a material breach of these Terms. Urbi Kore reserves the right to terminate your Account and access to the Services immediately and without penalty in response to any breach of these conduct standards.
  8. Commitment to Safety and Respect: By adhering to this Code of Conduct, you contribute to a positive and respectful experience for all users and Urbis. We encourage you to report any behavior that violates this Code to ensure our community remains welcoming and safe for everyone.
Disclaimer of Warranties
  1. Acknowledgment of Risks: By using Urbi Kore's services and properties, you acknowledge and accept that your use is at your sole risk. Urbi Kore, including its services, properties, and content provided by Urbi Kore ("Urbi Kore Content"), is offered on an "AS IS" and "AS AVAILABLE" basis, acknowledging that faults may exist and without warranties of any kind to the fullest extent permissible under applicable law.
  2. Warranty Disclaimers: Urbi Kore expressly disclaims all warranties and conditions, whether express, implied, or statutory, including but not limited to warranties or conditions of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, quiet enjoyment, and non-infringement of third-party rights. Urbi Kore does not guarantee that:
  • The services, Urbi Kore properties, or Urbi Kore Content will meet your specific requirements.
  • The operation will be uninterrupted, timely, secure, or error-free.
  • Defects in the service or properties will be corrected.
  • The service will always be available or free from any harm or damage to your personal or real property.
  • No Urbi Kore Warranty for Third-Party Services: You understand that Urbi Kore may use third-party apps and services to deliver its services. Urbi Kore has no control over and therefore cannot assume responsibility for the functionality, content, or reliability of such third-party services. Consequently, all warranties and liabilities concerning these third-party services are hereby disclaimed.
  • Limitation of Liability: Except in cases of gross negligence or willful misconduct by Urbi Kore or its Urbis, Urbi Kore disclaims liability for any damages to your personal and real property arising from the reasonable wear and tear or ordinary carelessness of Urbi Kore and its Urbis, including but not limited to lost keys.
  • Reliance on Urbi Kore Information: No advice or information, whether oral or written, obtained from Urbi Kore or through Urbi Kore services shall create any warranty not expressly stated in these terms.
‍By accepting these terms, you acknowledge that this no warranty provision is a fundamental part of the agreement between you and Urbi Kore, allowing Urbi Kore to provide its services and properties to you.‍

Acknowledgment and Assumption of Risk
  1. Risk Acknowledgment: You fully understand and agree that participating in any community activities, including but not limited to fitness classes and the use of any associated exercise equipment, is entirely at your own risk. Please be aware that no representative from the building owner or its managing agent will supervise these activities, and neither is obliged to provide medical supplies or equipment on the premises.
  2. Health and Safety Representation: You affirm that you are in suitable physical condition to engage in such activities and do not have any condition (physical or mental) that could pose a risk to yourself, other participants, or instructors.
  3. Indemnification: Should any injury or damages occur due to misrepresentation of your physical or mental fitness, you agree to defend, indemnify, and hold harmless Urbi, the building owner, its managing agent, and their respective employees and agents. Both the building owner and its managing agent are explicitly recognized as third-party beneficiaries of this clause.
Waiver and Release of Liability
  1. Liability Release: You acknowledge and accept that Urbi, the building owner, and its managing agent shall not be liable for any injuries, damages, or losses you may suffer as a result of participating in any community activities.
  2. Comprehensive Release: On behalf of yourself and any claiming party related to you, you hereby release Urbi, the building owner, its managing agent, and their affiliates from any future claims related to your participation in these activities. This release covers all forms of claims, whether known or unknown, anticipated or unanticipated, arising out of your participation in the activities or under this agreement.
  3. Both the building owner and its managing agent are acknowledged as third-party beneficiaries with rights under this clause.‍
Limitation of Liability
  1. Scope of Liability: To the fullest extent permitted by applicable law, Urbi Kore shall not be liable for any indirect, incidental, special, punitive, exemplary, or consequential damages, including but not limited to loss of profits, data loss, business interruption, or any other commercial damages or losses, that arise from or are related to your use or inability to use Urbi Kore's services and properties, the content provided by Urbi Kore, any information obtained through the service, or your interactions and meetings with the Urbis. This limitation applies regardless of the legal theory of liability (contract, tort, or otherwise) and even if Urbi Kore has been informed of the possibility of such damages.
  2. Monetary Cap on Liability: In cases not involving personal injury where applicable law does not prohibit limitations on implied warranties or the exclusion or limitation of certain damages, Urbi Kore's total liability to you shall not exceed the total amounts you have paid to Urbi Kore in the twelve (12) months immediately preceding the event(s) that gave rise to the claim, irrespective of the number or nature of claims.
  3. Essential Purpose: These limitations of liability are intended to apply even if the remedy specified in these terms fails to compensate you for any losses or fails its essential purpose.
  4. Acknowledgment: By agreeing to these Terms, you understand and agree that these limitations on liability are an agreed allocation of risk between you and Urbi Kore. The fees charged by Urbi Kore reflect, and are set in reliance upon, this allocation of risk and the exclusions and limitations of liability set forth herein.
Transactions Involving Alcohol
  1. Age Requirement: Alcoholic beverages may only be purchased for, or delivered to, individuals who are at least twenty-one (21) years of age. By initiating any task involving the purchase or delivery of alcoholic beverages through the Service, you affirmatively represent and warrant that you meet the legal age requirement for the purchase and consumption of alcoholic beverages.
  2. Representation and Age Verification: You agree to provide, upon request:
  • Valid, government-issued photo identification to your Urbi before the purchase of any alcoholic beverages, demonstrating that you are at least twenty-one (21) years old.
  • If required by your Urbi or by law, the same or another form of bona fide identification upon delivery of the alcoholic beverages to verify your age.
  • Compliance with Law: Both you and Urbi Kore acknowledge the importance of compliance with all applicable laws and regulations regarding the sale, purchase, and delivery of alcoholic beverages. Urbi Kore reserves the right to refuse service for any alcohol-related task if there are any doubts about compliance with age verification requirements or if providing such services could violate any law or regulation.
  • Responsibility: You understand that providing false information or failing to comply with age verification requirements may result in the immediate cancellation of your task involving alcoholic beverages, potential termination of your account, and legal action against you. Urbi Kore and its Urbis reserve the right to refuse to purchase or deliver alcoholic beverages at their discretion if compliance with legal age requirements cannot be clearly established.
Key Handling and Access
  1. Provision of Keys: For Urbi Kore to perform certain Tasks effectively, such as house cleaning or grocery delivery, it may be necessary for our service professionals, referred to as Urbis, to gain access to your residence. By using our services, you agree to provide your Urbi with a set of keys or access codes to your residence, along with any other pertinent information required to complete the requested Tasks.
  2. Security Measures: Urbi Kore is committed to the security of your property. We take reasonable precautions to ensure the safekeeping of any keys or access information you provide. Our Urbis are trained in secure handling and confidentiality protocols to protect your privacy and property.
Limitation of Liability for Key Mismanagement
  1. General Liability Disclaimer: Except in instances of gross negligence or willful misconduct on the part of Urbi Kore or its Urbis, Urbi Kore disclaims all warranties, responsibilities, and liabilities for any incidents involving lost keys, unauthorized use or access, or issues arising from improper locking or securing of residences.
  2. Preventative Measures: We encourage you to maintain records of the keys or access codes provided and consider changing locks or codes if keys are lost or if you suspect unauthorized access.
  3. Client Responsibility: You are responsible for providing accurate and up-to-date access information. In the event of changes to access codes or locks, it is your responsibility to inform Urbi Kore promptly to ensure continued service quality and security.
  4. Reporting Issues: Should you experience any problems related to the provision of keys or access to your Urbi, please contact Urbi Kore immediately. We are here to address your concerns and take corrective action as needed to safeguard your interests and security.
Feedback Provision and Use
  1. Grant of Rights: When you submit feedback, comments, or suggestions about the App, tasks, services, or any other aspect of Urbi Kore's operations ("Feedback"), you agree to grant Urbi Kore a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, perform, and display such Feedback in any manner Urbi Kore finds suitable. This includes incorporating Feedback into Urbi Kore's services, products, marketing, and business strategies without compensation to you.
  2. Non-Confidentiality: You acknowledge and agree that any Feedback you provide will be considered non-confidential and non-proprietary. Urbi Kore may use such Feedback for any purpose, business, or development activities without acknowledgment or compensation to you.
  3. Representation: By providing Feedback, you represent that such Feedback is based on your own experiences and is a genuine representation of your opinions. You also affirm that you have all the necessary rights to provide this Feedback and that by doing so, you are not infringing on the intellectual property rights of any third party.
  4. Exclusion of Confidential Information: Please ensure not to share any information with Urbi Kore that you consider confidential or proprietary. Urbi Kore requests that all shared Feedback should not contain confidential information, and by submitting Feedback, you agree not to provide any information or ideas that you regard as confidential or proprietary.
Urbi Partner Properties
  1. Service Provision: "Urbi" is a proprietary service offered by Urbi Kore. This service may be provided as a complimentary gift to residents either upon new occupancy or at the time of lease renewal within partner properties. It's important to note that "Urbi" is not an intrinsic, permanent, or mandatory service associated with the building's amenities.
  2. Resident Agreements: Any agreements or engagements residents enter into concerning the "Urbi" service are exclusively between the resident and Urbi Kore, and not with the building owner, property manager, or any associated entities. As such, the provision and use of "Urbi" services are not subject to, nor do they affect, any rent stabilization rights, obligations, or other housing regulations applicable to the building or residency agreements.
Arbitration Agreement and Governing Law
  1. Careful Consideration Required: This Arbitration Agreement is a crucial part of your contract with Urbi Kore and significantly impacts your legal rights, including the waiver of a jury trial and participation in class actions. Please review thoroughly before agreeing.
  2. Scope of Arbitration Agreement: Except where explicitly provided by Urbi Kore, all disputes, claims, or controversies arising between you and Urbi Kore, whether directly or indirectly related to your use of the App or these Terms, shall be resolved through mandatory binding arbitration in Calgary, Alberta, Canada. This includes, without limitation, disputes regarding the Terms' interpretation, any alleged breach, and your use of the App. This agreement to arbitrate is to be broadly interpreted and encompasses all disputes that might arise between you and Urbi Kore.
  3. Waiver of Jury Trial and Class Actions: By entering into this agreement, both you and Urbi Kore waive the right to a trial by jury or to participate in a class action. Claims must be brought on an individual basis, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. Arbitration will occur on an individual basis, and class arbitrations and class actions are not permitted.
  4. Arbitration Procedures: Arbitration will be conducted in accordance with the domestic arbitration laws of Alberta, Canada, specifically the Alberta Arbitration Act, RSA 2000, c A-43, as amended. For claims under $10,000 CAD, arbitration will be based solely on written submissions unless both parties agree otherwise. For claims exceeding $10,000 CAD, the right to a hearing shall be determined by the arbitration rules, and if a hearing is deemed necessary, it shall take place in Calgary, Alberta, Canada. The arbitrator's decision shall be final, binding, and have the same effect as a judgment in a court of law.
  5. Jurisdiction for Non-Arbitrable Disputes: In the rare event that this arbitration agreement is found unenforceable, or if the scope of the arbitration agreement is determined to be inapplicable to a dispute, such disputes shall be subject to the exclusive jurisdiction of the courts of Calgary, Alberta, Canada. Furthermore, any claims of infringement or misappropriation of Urbi Kore's intellectual property shall be adjudicated in the competent courts of Calgary, Alberta, Canada.
  6. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta and the laws of Canada applicable therein, without regard to its conflict of law provisions. Any disputes arising from or relating to this Agreement shall be resolved exclusively in the provincial or federal courts located in Alberta, Canada, and both parties consent to the jurisdiction of such courts.
Application Store Additional Terms and Conditions
  1. Acknowledgment: This Agreement is solely between you and Urbi Kore, not with any Application Store. Urbi Kore is exclusively responsible for the App, including its content, maintenance, support services, and warranty, and for addressing any claims related thereto (e.g., product liability, legal compliance, or intellectual property infringement).
  2. Scope of License: The license granted to you for the App is a non-transferable license to use the App on an iOS or Android device that you own or control, in accordance with the Usage Rules specified by the Application Store's Terms of Service.
  3. Maintenance and Support: Urbi Kore will solely provide any maintenance and support services for the App as required under applicable law or as specified in this Agreement. The Application Store has no obligation to furnish any maintenance and support services with respect to the App.
  4. Warranty: Urbi Kore is responsible for any product warranties, to the extent that such warranties have not been effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify the Application Store, and the Application Store may refund the purchase price for the App; Urbi Kore will be responsible for any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty.
  5. Product Claims: Urbi Kore, not the Application Store, is responsible for addressing any claims by you or any third party relating to the App or your possession and use of the App, including: (i) product liability claims; (ii) any claim that the App fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection or similar legislation.
  6. Intellectual Property Rights: In the event of a third-party claim that the App or your possession and use of the App infringes on third party intellectual property rights, Urbi Kore, not the Application Store, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
  7. Legal Compliance: You represent that you are not located in a country subject to an embargo or designated as a "terrorist supporting" country, and that you are not listed on any Government list of prohibited or restricted parties.
  8. Developer Contact Information: For any questions, complaints, or claims related to the App, please contact Urbi Kore at: hello@myurbi.co.
  9. Compliance with Third-Party Terms: You agree to comply with all applicable third-party terms when using the App.
  10. Third-Party Beneficiary: The Application Store (and its subsidiaries) is a third-party beneficiary of these Terms and may enforce these Terms against you.
Indemnification
  1. Agreement to Indemnify: You agree to indemnify, defend, and hold harmless Urbi Kore and its partners, licensors, affiliates, contractors, officers, directors, employees, and agents (collectively, the "Urbi Kore Parties") from and against any liabilities, losses, damages, and expenses (including reasonable attorneys' fees and costs) arising from or in connection with: (a) your negligent acts, omissions, or willful misconduct; (b) your use of or access to Urbi Kore's services, App, and content (collectively, the "Urbi Kore Properties"); (c) any violation or breach of these Terms by you; and (d) your violation of any law or the rights of any third party.
  2. Urbi Kore's Right to Defense: Urbi Kore reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. Should Urbi Kore choose to do so, you will cooperate with Urbi Kore in asserting any available defenses. This cooperation may include providing necessary information and reasonable assistance, as requested by Urbi Kore.
  3. Survival of Indemnification Obligations: The obligations under this indemnification clause will survive the termination or expiration of your account, these Terms, or your access to Urbi Kore Properties. This enduring obligation ensures that both parties are protected from potential future claims that may arise from past actions.
Release of Liability
  1. General Release: You hereby release Urbi Kore, its affiliates, partners, licensors, contractors, officers, directors, employees, and agents (collectively, the "Urbi Kore Parties") and their successors from all claims, demands, losses, damages, rights, and actions of any kind, including but not limited to personal injury, death, and property damage, that are directly or indirectly related to or arise from your use of Urbi Kore Properties. This includes any interactions with or conduct of the Urbis, or any third-party websites or services encountered through Urbi Kore Properties, whether arising under statutory, contractual, tort, or other legal theories, to the extent permissible by the laws of the Province of Alberta and Canada.
  2. Acknowledgment and Understanding: By agreeing to these Terms, you acknowledge your understanding of the extent of this release, which includes relinquishing any and all claims against Urbi Kore Parties, whether known or unknown at the time of agreement. This release is acknowledged as a fair and reasonable provision within the context of these Terms, considering the nature of the services provided. You affirm that this agreement is entered into voluntarily and with full knowledge of its effects.
  3. Aberta Law Consideration: The provisions of this release are intended to be as broad and inclusive as permitted by the laws of the Province of Alberta. If any portion of this release is held invalid, it is agreed that the balance shall, notwithstanding, continue in full legal force and effect.
Equitable Remedies Acknowledgment
  1. Necessity of Equitable Remedies: You acknowledge that a breach of these Terms by you may cause irreparable harm and significant injury to Urbi Kore that may be difficult to quantify. As a result, you agree that Urbi Kore shall have the right to seek and obtain immediate injunctive relief to enforce these Terms, as well as pursue any and all other rights and remedies available at law or in equity for such a breach.
  2. Entitlement to Equitable Relief: Consequently, without the necessity of posting a bond or other security, or proving actual damages, Urbi Kore shall be entitled to seek appropriate equitable remedies, including but not limited to injunctions and specific performance, as necessary to enforce the Terms and protect its interests.
  3. Complement to Other Remedies: It is understood that any equitable remedy granted shall be in addition to, and not in lieu of, any other rights or remedies available to Urbi Kore under these Terms or applicable law.
Modification of Terms
  1. Notice of Changes: Urbi Kore reserves the right to update or modify these Terms at any time, at its sole discretion. Changes will become effective immediately for new users of Urbi Kore Properties and, for existing users, these changes will take effect thirty (30) days after posting a notice of such changes on the Website or within the App.
  2. Communication of Material Changes: For any material modifications to these Terms, and if you have registered an Account with us, we will notify you via the last email address you provided in your account details. The “Last Updated” date at the bottom of these Terms will also be revised to reflect new changes.
  3. Effective Date for Existing Users: For users with an existing Account, material changes to the Terms will become effective upon the earlier of (1) thirty (30) days after posting notice of such changes on the Website or in the App, or (2) thirty (30) days after the sending of an email notification of such changes.
  4. Consent to Updated Terms: We may require your express consent to the updated Terms before you can continue using the Website, App, and Services. This consent may be required in a specified manner as indicated by us at the time of the update.
  5. Your Acceptance or Discontinuation: Should you disagree with any changes to the Terms after receiving notice, you must cease using Urbi Kore Properties immediately. By continuing to use Urbi Kore Properties after the effective date of any changes, you accept and agree to be bound by the updated Terms.
  6. Regular Review Encouraged: We encourage you to regularly review the Website and App to stay informed of the current Terms. It is your responsibility to check for updates periodically.
Termination of Service
  1. By Urbi Kore: Urbi Kore reserves the right to cancel, suspend, or block your access to the Service without prior notice in the event of any breach of these Terms by you. Upon termination of your account, your right to use the Service ceases immediately, and your data may be deleted, except to the extent that Urbi Kore is required to retain such data by law.
  2. By You: You have the right to terminate your registration with the Service at any time. Upon your termination, all rights granted to you under these Terms will cease immediately.
  3. Consequences of Termination: Urbi Kore is not obligated to maintain, return, or provide copies of any of your data or records that become inaccessible to you as a result of your account termination. You acknowledge that Urbi Kore bears no liability for any loss, damage, or harm resulting from the termination of your access to the Service, whether initiated by you or Urbi Kore.
  4. Liability & Survival: You agree that Urbi Kore shall not be liable to you or any third party for any termination of your access to the Service. Any provisions of these Terms that, by their nature, should survive termination of these Terms will remain in effect after such termination. This includes, but is not limited to, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
  5. Handling of Keys: Upon termination, you may choose to have any keys you provided to facilitate the Service returned to you via certified mail at a cost of approximately $4-$6, or to have them securely destroyed. If the keys are mailed but cannot be delivered because no one is available to sign for them, and you fail to retrieve them from your local post office branch within the timeframe allowed by USPS, they will be returned to our office. Upon return, we will proceed with the secure destruction of the keys.
Consumer Complaints.
  1. This Agreement is subject to the protections provided under the Alberta Fair Trading Act. Urbi Kore ensures all practices related to the sale, refund, and cancellation of services adhere to the standards set forth by Alberta's consumer protection laws, offering clear, fair, and transparent processes to protect the interests of consumers.
General Provisions:
  1. Enforcement and Waiver: The failure of Urbi Kore to enforce any right or provision in these Terms will not constitute a waiver of such right or provision unless acknowledged and agreed to by us in writing. The enforcement of these Terms is subject to existing laws, and legal process, and nothing contained in these Terms is in derogation of our right to comply with governmental, court, and law enforcement requests or requirements relating to your use of the Service or information provided to or gathered by us with respect to such use.
  2. Severability: If any provision of these Terms is found by a court of competent jurisdiction to be invalid, illegal, or unenforceable, it shall be modified to the minimum extent necessary to make it valid and enforceable, or if it cannot be so modified, then eliminated to the extent of such invalidity or unenforceability without affecting the remaining provisions of these Terms.
  3. Neither party shall be liable for any failure to perform its obligations under this Agreement if such failure is caused by the occurrence of an event beyond the reasonable control of that party, including but not limited to, acts of God, natural disasters, pandemics, epidemics, wars, terrorist activities, government actions, labor strikes, or disruptions in telecommunications, utility, Internet services or transportation. Upon the occurrence of a force majeure event, the affected party shall promptly notify the other party, detailing the nature of the event and its expected duration. The affected party will use reasonable efforts to mitigate the impact of the event and resume performance of its obligations as soon as possible. This clause shall not excuse a party's non-performance entirely, but only suspend it for the duration of the force majeure event. If such an event continues for a period exceeding [insert duration, e.g., 60] days, either party may terminate this Agreement by providing written notice to the other party, without any penalty
  4. Admissibility: A printed version of these Terms and of any electronic notice pertaining to these Terms shall be admissible in judicial or administrative proceedings based upon or relating to these Terms to the same extent and subject to the same conditions as other business documents originally generated and maintained in printed form.
  5. Electronic Contracts: Any agreements formed through electronic means will be fully recognized as legally binding in the same manner as those executed on paper, provided they meet the requirements of electronic signature laws in Alberta.
Miscellaneous Provisions
  1. Enforcement and Waiver: The failure of Urbi Kore to enforce any right or provision of these Terms does not constitute a waiver of that right or provision. Any waiver of any provision contained in these Terms shall not be deemed to be a waiver of any other right, provision, or future enforcement of that or any other provision.
  2. Severability: In the event that any provision of these Terms is held to be invalid, illegal, or unenforceable under any applicable statute or rule of law, such provision will be deemed modified to the minimum extent necessary to make it valid and enforceable. If such modification is not possible, the provision will be deemed severed from these Terms, and the validity and enforceability of the remaining provisions shall not be affected or impaired. The remaining Terms will continue in full force and effect.
  3. Admissibility: A printed version of these Terms and of any notice or communication given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to these Terms, to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
  4. Electronic Contracts: Any contracts completed electronically, including agreements made through the use of the App or Website, will be considered for all legal purposes to be in writing, signed, and intended to be legally binding and enforceable as a signed written agreement.
